STANDARD TERMS & CONDITIONS OF SALE – WINE & SPIRITS


1. Definitions & Interpretation

  • Seller: Solera (H.K.) Limited.
  • Client: Purchaser of goods or services from the Seller.
  • Goods: Wine, spirits, or other items sold by the Seller.
  • Order: The order placed by the Client and accepted by the Seller under these Terms.


2. Applicability and Precedence

  • These Terms apply to all Orders. Any differing or additional terms proposed by the Client are excluded, unless agreed in writing by the Seller.
  • No trade custom or usage alters these Terms unless agreed in writing.


3. Licensing, Age Verification & Compliance

  • The Seller will not sell or deliver intoxicating liquor to any person under 18. The Seller reserves the right to require proof of age.
  • The Client must comply with all laws relating to liquor purchase and possession, including the Dutiable Commodities Ordinance (Cap. 109).


4. Contract Formation

  • An Order is accepted only when confirmed by the Seller in writing (including electronically).
  • Orders are subject to stock availability.


5. Goods & Statutory Terms

  • Goods will conform to description, be of merchantable quality, and fit for purpose as required by the Sale of Goods Ordinance (Cap. 26).
  • All other warranties are excluded to the fullest extent permitted by the Control of Exemption Clauses Ordinance (Cap. 71).


6. Payment Terms

  • Due upon receipt of invoice. No credit unless expressly agreed in writing.
  • Accepted payment methods:
    • FPS / Bank Transfer / Cash: No fee.
    • Cash: No fee.
    • Cheques: Delivery only after funds clear (2–3 business days).
    • Visa / Mastercard / UnionPay / American Express: Accepted with a 3% fee on total transaction.
    • WeChat Pay / Alipay: Accepted with a 1.5% fee on total transaction.
    • Other methods: Subject to a nominal fee notified in advance.


7. Interest & Recovery

  • Non-payment upon receipt entitles the Seller to suspend services or cancel Orders.
  • Interest of 10% per annum may be charged on overdue sums.
  • If unpaid for more than 60 days, the Seller may engage debt recovery at the Client’s cost.


8. Delivery & Risk

  • Risk passes on delivery. Title passes only once full payment (including all fees) has cleared.


9. Returns & Claims

  1. No Return of Alcoholic Products
    All sales of wine, spirits, or other alcoholic beverages are final. No returns, refunds, or exchanges are accepted, except where goods are defective, damaged in transit, or not in conformity with the contract under the Sale of Goods Ordinance (Cap. 26).
  2. Returns of Wine Accessories
    Wine accessories may be returned only if:
    a. they are new, unopened, and unused; and
    b. the Client notifies the Seller by recorded delivery within eight (8) days of delivery.
    Opened, used, or damaged accessories (except manufacturer’s defect) will not be accepted. The Seller reserves the right to inspect and reject returns not meeting these conditions.
  3. Procedure
    All claims must be notified in writing by recorded delivery to the Seller’s registered office within eight (8) days of delivery. Proof of purchase and original packaging must be provided.
  4. Statutory Rights
    Nothing in these Terms excludes rights under the Sale of Goods Ordinance (Cap. 26) or other applicable Hong Kong law.


10. Limitation of Liability

  • Liability is limited to the invoice value of goods supplied.
  • No liability for indirect or consequential loss.
  • Nothing excludes liability for death, personal injury caused by negligence, or fraud.


11. Force Majeure

  • The Seller is not liable for delay or non-performance due to events beyond its reasonable control.


12. Governing Law & Jurisdiction

  • These Terms are governed by Hong Kong law.
  • Disputes are subject to the exclusive jurisdiction of the Hong Kong courts.


13. Severability & Waiver

  • Invalid provisions are severed; remaining provisions remain effective.
  • Failure to enforce any right is not a waiver of that right.
